1. Acceptance of Terms

By accessing or using the services offered by PSL TECHNOLOGY PVT. LTD. ("Company," "we," "our," or "us"), including our website, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

We provide custom software development services, including but not limited to mobile app development, web development, UI/UX design, quality assurance, and DevOps services. The specific details of the services will be outlined in a separate agreement or statement of work.

3. User Accounts

Some of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the project
• Review and provide feedback on deliverables in a timely manner
• Pay all fees as agreed upon in the service agreement
• Obtain any necessary permissions or rights for materials provided to us
• Comply with all applicable laws and regulations

5. Intellectual Property

5.1 Our Intellectual Property

All content, features, and functionality of our website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Project Deliverables

Ownership of intellectual property created as part of our services will be governed by the specific agreement between you and the Company. Unless otherwise specified in such agreement, upon full payment of all fees, we assign to you all rights, title, and interest in the final deliverables.

6. Payment Terms

Payment terms, including fees, payment schedule, and methods of payment, will be specified in the service agreement. Unless otherwise stated, all fees are non-refundable. Late payments may incur additional charges as specified in the service agreement.

7. Confidentiality

Each party may disclose confidential information to the other party. Both parties agree to maintain the confidentiality of such information and to use it only for purposes of providing or receiving the services. This obligation survives the termination of these Terms for a period of three (3) years.

8. Limitation of Liability

In no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our services

9. Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranty that the services will meet your specific requirements or expectations. The services are provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Termination

Either party may terminate the services as specified in the service agreement. Upon termination, you must pay for all services rendered up to the date of termination. Sections of these Terms that by their nature should survive termination shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Pokhara, Nepal.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through our website or by other means. Your continued use of our services after such modifications constitutes your acceptance of the modified Terms.
